TERMS AND CONDITIONS

This document provides the Terms and Conditions governing the association between the Corporate Bodies/ Employers (“Corporate Bodies, “you“ and “your”) and Sapphire Human Solutions ("Company", "we", "us" and “our”), a Company established under the Companies Act, 1956 having its office at 1st Floor, 91 SPRINGBOARD, 74 Techno Park, 74/II, Cross Rd C, opp. Gate No. 2, Seepz, Andheri East, Mumbai, Maharashtra 400093
Please also read the Terms of Use, mentioned on the website www.deijobs.in carefully and you agree to be bound by these Terms and conditions in respect to your association with the Company and in respect to all the services provided and received there under.
1) Introduction
The company owns and operates website known as www.deijobs.in (“Site”), which is an online marketplace, offering facilities to users to upload their resume and search for job vacancies in various corporate bodies in India and aboard and also allows corporate bodies to posts their requirement for job openings in their organisation and search of candidates for their organisations and also offers other value added services. ”Corporate bodies/body” shall mean and include a Company duly registered under the Companies Act 1956/ a Partnership Firm duly registered under the Indian Partnership Act/ PSUs/ NGOs/ Government Bodies/ Industry body/ Sole Proprietor/ Trust/ Society/ Educational Institution/ NRI having necessary permission and licences to carry out business in India/ Foreign citizen having necessary permission and licences to carry out business in India. Job openings shall only be in the nature of internships, part time jobs, flexi jobs and freelancing assignments, projects based on retainership and other such non regular 9am to 6pm / full time corporate jobs.

2) Services Offered
The Corporate Bodies shall be able to upload its detailed profile, job vacancies and other allied details in the manner and format provided on the site. The Corporate Bodies shall ensure that its profile, details and information regarding job vacancies with its organisations, the details of desired candidate and other allied details are accurate and error free. The Company shall not be liable in case of any error or mistake therein. The Corporate Bodies shall have access to the entire database of the subscribers/users of the site during the entire duration of its active subscription with the company and shall be able to send mails, posts and connection requests to all such subscribers/users in line with features and benefits available in its active subscription. The Corporate Bodies shall be granted login id/s and access based on the subscription package availed by them and shall be entitled to post/update /repost such number of job vacancies and other allied details as per said the package offered. The Corporate Bodies shall be solely liable for posting /update/repost of job vacancies, posts, mails, videos, pictures and other allied details. The Company shall not be liable for any mistake or error in respect thereto. On expiry/ termination of the package arrangement with the Company and failure to settle dues; the Corporate Bodies shall not be able to post jobs and access other benefits.

3) Obligations of Corporate bodies
The Corporate bodies will provide the company with information, resources and assistance reasonably required or requested by the company in order to provide the service as set-out herein or requested by Corporate bodies. The Corporate bodies have due licence/authority to use and display the artwork, videos, pictures and other data uploaded and displayed by it on the site. The Corporate bodies hereby agrees to indemnify the company in respect to any issues, claims arising due to any mistake, error, misrepresentation and other allied copyright and privacy claims in respect to artwork, videos, pictures and other data uploaded and displayed by it on the site. The Corporate Bodies shall be deemed to give an undertaking to Company that the jobs/ postings sought to be advertised on the site are in existence, are genuine and that the official uploading vacancies is an authorised officer for such job posting. The Corporate bodies shall utilise the said Website only for a lawful purpose.

4) Obligations of the Company
The Company shall provide services in a professional, workmanlike manner, in accordance with the specifications and in compliance with all applicable laws and regulations and professional standards. The Company shall not violate or breach any third party intellectual property rights in providing services herein. The Company declares that, there are no pending claims or threatened actions that could have adverse effect on its ability to perform its obligations under this Agreement. The Company shall in no way be held liable for any subscriber/user information displayed on the site and it shall be the sole responsibility of the Corporate Bodies to check, authenticate and verify the information/ response received at its own cost and expense. The Company offers no guarantee nor warranties that there would be a satisfactory response to the job postings.

5) Payments & Consideration
The Corporate Bodies shall be required to pay charges for subscription packages decided by the Company from time to time. The company reserves the right to inactivate the log-in id/s of the corporate bodies, without further notice in event of delay of more than 7 days for payment as well as take required action to recover package / subscription charges. The Corporate bodies shall pay the charges for the services rendered by the company as per the package(s) availed and number of login id(s) required by them. The Corporate Bodies shall be liable to bear and pay GST whenever/ wherever applicable. Please note that all payments towards subscription packages are non refundable.

6) Closure Assistance
a) The Corporate Bodies may opt for services relating to manpower recruitment, including internships, part time jobs, flexi jobs and freelancing assignments, projects based on retainership and other such non regular 9am to 6pm / full time corporate jobs and other allied services in respect thereto, on selection of relevant subscription package and payment of its charges.
b) The Company and/or its emplaned Recruitment Partners shall provide the requisite assistance to the Corporate Bodies in procuring appropriate manpower as per their requirement.
c) The Company shall identify appropriate candidates to meet the client requirements and shall screen and/or interview the appropriate candidates and identify interested candidates to undergo the client selection process, coordinate the interview and selection process, offer assistance for finalising the right candidate, salary structure and other allied services.
d) The Company shall be deemed to have complied a manpower requirement and completed the recruitment process, when candidate/s is selected by the Corporate Bodies, duly joins the requisite organisation on the date of joining agreed by the parties and /or such candidate reports for training /induction as per client’s instructions and/or such candidate deposits fees /consideration as per client’s terms and /or on any such event as may be agreed by and between the parties.
e) The Corporate Bodies shall forthwith intimate the Company in event of any one of the above happenings and shall provide the details of the finalised offer of the candidate for the purpose of billing.
f) In case of failure or neglect on the part of the Corporate Bodies to provide the details of final offer of the candidate to the Company, then the Company can procure the necessary details from the relevant candidate and forward the same to the Corporate Bodies for approval.
g) The Corporate Bodies shall duly approve/reject and /or communicate its observation in respect to such detail shared by the Company within 48 hours of the receipt thereof and in event of failure or neglect in this respect the details forwarded by Company shall be deemed to have be accepted by the Corporate Bodies and Company shall be entitled to raise invoice based on the same
h) In event such duly selected candidate/s resigns/quits /leaves the relevant company /corporate within specified time period, as per Schedule A, from the date of joining; then company shall look out and provide for due and proper replacement of such candidate/s at the earliest by following due process set-out herein; without any extra charge to the Corporate Bodies
i) The Corporate Bodies agrees that the Company is not bound and obliged to provide for such replacements in case of manpower requirement being of the type of an Internship, One Day project or Commission based without monthly retainer
j) The Corporate Bodies agrees and accepts that all the applications received by it in respect to any job vacancy or manpower requirement shall be from the registered job seekers of the said portal and such candidates may also apply independently to Corporate Body’s same/ similar job requirement listed on other portals. The Corporate Bodies agrees and accepts that fees due and payable to the Company shall accrue, even though the candidate may have/ has applied through any other source.
k) The Corporate Bodies agrees and accepts that Fees charges by the Company for various services in respect to manpower recruitment shall be as set-out in Schedule A here to. Please note the activation fees paid by the Corporate Bodies while opting for this service is not adjustable against the final fee payable by Corporate Bodies.
l) In addition to fees mentioned in Schedule A, the Company will also charge GST @ 18% on the fees. Any change in GST or any other govt taxes leviable on Company’s services will be applicable.
m) The Company shall raise invoice/s for the services offered as per the fees set-out in Schedule A and same shall be paid by the Corporate Bodies with 21 days from the date of invoice
n) The Corporate Bodies agrees and accepts that all payments made under this agreement are non-refundable and the same cannot be adjusted and /or waived of any pending or forthcoming invoice for any other service/s.

7) Warranty Disclaimer
Notwithstanding any checks or verification undertaken by the Company, all information on Corporate Profiles on the Website that have been entered by you or on your behalf, we do not make any representation or warranty as to the attributes (such as legal title, creditworthiness, identity, etc.) of such profiles. We do not accept any liability due to inaccuracy of information provided by you. The Company takes no warranty and has no obligations towards any representations made by the Corporate bodies to the Users. The Company shall not be liable for any consumer complaints and/or any misrepresentations, misconduct on the part of the Corporate bodies. Under no circumstance shall Company, its employees, affiliates or contractors be liable for any direct, indirect, incidental, special, punitive, exemplary or consequential damages which arise in any way from your inability to use the Services or from your inability to raise sufficient responses to your job posting.

8) Reviews
The Corporate Bodies may post any review, opinion, views to any material published on the site and may respond, reply to any of the views, feedback reviews and ratings posted on the site relating to itself. It shall be the sole discretion of the company to determine the manner in which any feedback, reviews, ratings is to be displayed and for the duration for which the same will be displayed. The opinion and views expressed by corporate bodies should be by its authorised representative authorised to post the same. The views and ideas in any such posts shall be solely of the concerned corporate bodies and the company does not prescribe, refer and/or uphold the same in any manner and shall not be liable for any issues, grievances, or claims arising out of the same. The company may delete and/or block any post which it reasonably considers as derogatory, defamatory, unlawful, harassing, inciting, threatening, hateful, harmful, bigoted, racially offensive or otherwise objectionable and/or Interferes with another user’s rights to privacy. The company shall not be liable for any grievance in case of failure on its part to display and publish any or your opinions, views, reviews and rating.

9) Termination
Either Party may terminate this Agreement by a written notice of 30 days to the other Party. On the termination and /or expiry of this arrangement the company shall forthwith draw the invoice in respect to all the payments due and Corporate bodies shall make the payment thereof within Seven (7) days from the day of receipt, subject to the terms and refund and cancellation policy as set-out in terms of use.

10) Intellectual Property Rights
Each Party (first Party) may use the trademarks, logos, trade names or such identifiers (together, “Brands”) of the other Party (other Party) only as expressly permitted by the other Party in writing and in accordance with the standard terms of use that the other Party notifies the first Party in writing. Each first Party undertakes not to use the other Party’s Brands conjoint with its own (i.e. the first Party’s) Brands in such a way as to form a new brand, trade mark or trade name. Any goodwill generated by the use of each first Party’s Brands by the other Party, will insure exclusively to the relevant first Party only. Neither Party will engage in any marketing programme, press release or other public announcements about the contents of this Agreement, without the prior written consent of the other Party (which the other Party will not unduly delay or withhold).

11) Confidentiality
Each Party shall maintain the confidentiality of the other Party’s Confidential Information and shall not, without the prior written consent of the other, use, disclose, copy or modify the other Party’s Confidential Information (or permit others to do so) other than as necessary for the performance of its rights and obligations under this Agreement.

12) Relationship
The relationship between the Parties shall be on Principal-to-Principal basis. No Party will have authority to speak for, represent or obligate the other Party in any way without prior written authority from such other Party.

13) Governing Laws
This Agreement shall be governed by and construed in accordance with the laws of India, without regard to its conflicts of law provisions. The courts in Mumbai shall have exclusive jurisdiction to deal with any dispute, which may arise between the Parties under this Agreement.
